AV Commissioning & Programming
These Terms & Conditions apply to all services provided by the Service Provider to system integrators (“the Client”).
1. Scope of Work
1.1 Services are provided on a day-rate basis, unless otherwise agreed in writing.
1.2 A working day is up to 8 hours, unless agreed otherwise.
1.3 Any work outside the agreed scope, including additional commissioning, programming changes, fault-finding, rework, or return visits, shall be chargeable at the applicable day rate.
2. Rates & Fees
2.1 Day rates may vary depending on the nature, complexity, urgency, or technical requirements of the work.
2.2 Rates will be confirmed in advance where possible and may be adjusted if requirements or scope change.
2.3 All fees are exclusive of VAT unless stated otherwise.
3. Invoicing & Payment
3.1 Invoices are issued upon completion of work or at agreed milestones.
3.2 Payment terms are 30 days from invoice date, unless otherwise stated in writing.
3.3 Late payments may be subject to statutory interest and recovery costs in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
4. Travel & Expenses
4.1 Travel and subsistence costs are chargeable unless expressly agreed otherwise.
4.2 Quoted or estimated travel costs are subject to change depending on notice period and the timing of purchase order receipt.
4.3 Any travel booked prior to cancellation or postponement may be recharged to the Client.
5. Purchase Orders
5.1 Where a purchase order (PO) is required, work will normally commence upon receipt of a valid PO.
5.2 Delays in PO receipt may result in rescheduling, reduced availability, or changes to costs.
5.3 The Client remains responsible for payment of all work carried out, irrespective of internal approval processes.
6. System Readiness & Client Responsibilities
6.1 The Client is responsible for ensuring that systems are fully installed, powered, configured, networked, licensed, and ready for commissioning at the agreed start time.
6.2 Delays caused by incomplete installation, lack of access, unavailable equipment, missing information, or third-party dependencies may result in chargeable downtime or additional days.
7. Delays Outside Control
7.1 The Service Provider shall not be responsible for delays or incomplete commissioning arising from factors outside their reasonable control, including incomplete works, late equipment delivery, incorrect specifications, or site restrictions.
8. Design Changes & Rework
8.1 Any changes to system design, functionality, equipment, or requirements after work has commenced may require additional commissioning or programming and will be chargeable at the applicable day rate.
8.2 Rework resulting from design changes, undocumented requirements, or alterations made by others shall be treated as additional chargeable work.
9. Partial or Interrupted Commissioning
9.1 Time spent on site or remotely remains chargeable regardless of system completion.
9.2 Where commissioning is partially completed due to system readiness or external factors, return visits required to complete the work will be charged separately.
10. Intellectual Property
10.1 All pre-existing tools, templates, libraries, and reusable code remain the intellectual property of the Service Provider.
10.2 Upon full payment, the Client is granted a non-exclusive licence to use project-specific programming created for the agreed system.
11. Liability
11.1 Services are provided with reasonable skill and care in line with UK industry standards.
11.2 Liability is limited to the value of fees paid for the relevant services.
11.3 The Service Provider shall not be liable for indirect, consequential, or third-party losses.
12. Termination
12.1 Either party may terminate services with written notice.
12.2 Fees for work completed and costs incurred up to the termination date remain payable.
13. Governing Law
13.1 These Terms & Conditions are governed by the laws of England and Wales.
